These Terms of Use (the “Terms”) govern your access to and use of the Clip2Lead website, platform, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.

1.Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2.The service

Clip2Lead provides software that helps teams plan, automate, and run outbound sales and marketing campaigns, including lead management, sequence building, AI-assisted personalized media, message delivery, and reporting. We may add, change, or remove features over time to improve the Service.

3.Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
• You must provide accurate information and keep it up to date.
• Notify us promptly of any unauthorized use of your account.

4.Acceptable use

You agree to use the Service lawfully and responsibly. You will not:

• Send unsolicited, deceptive, or unlawful communications, or otherwise violate anti-spam, marketing, data-protection, or consumer-protection laws (including, where applicable, CAN-SPAM, GDPR, and similar regulations).
• Impersonate any person or entity, or misrepresent your affiliation with anyone.
• Upload or generate content that is illegal, infringing, defamatory, harassing, or harmful.
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its underlying systems.
• Use the Service in violation of the terms or acceptable-use policies of any third-party platform or channel you connect or send through.

5.Your content & responsibilities

You retain ownership of the data, lists, messages, recordings, and other materials you provide or generate using the Service (“Customer Content”). You are solely responsible for your Customer Content and for ensuring you have the rights and any required consents to use it, including the right to contact the recipients you target. You grant us a limited license to host and process Customer Content as needed to provide the Service.

6.AI-generated media

The Service may generate personalized audio or video using inputs you provide (such as your own voice or likeness). You represent that you have the right to use any such inputs, and you are responsible for how the generated media is used. You will not use these features to create misleading, deceptive, or unauthorized impersonations of any individual.

7.Third-party services

The Service may integrate with or rely on third-party platforms and tools. Your use of those services is governed by their own terms, and we are not responsible for their availability, content, or practices.

8.Fees

Paid plans are billed according to the pricing presented to you at signup or in your order. Unless stated otherwise, fees are non-refundable, and you are responsible for applicable taxes. We may change pricing on a prospective basis with reasonable notice.

9.Intellectual property

The Service, including its software, design, and trademarks, is owned by Clip2Lead and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, no rights are transferred to you.

10.Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce any particular results.

11.Limitation of liability

To the maximum extent permitted by law, Clip2Lead will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the twelve months before the event giving rise to the claim.

12.Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your use poses a risk to the Service or others. Provisions that by their nature should survive termination will continue to apply.

13.Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14.Governing law

These Terms are governed by the laws of the jurisdiction in which Clip2Lead is established, without regard to its conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over any disputes, unless otherwise required by applicable law.
